Terms & Conditions of Sale
These Terms & Conditions apply to all quotations, orders, goods and services supplied by Intro Creative Group Ltd ("the Company") and shall prevail over any terms proposed by the Customer unless otherwise agreed in writing.
1. Quotations
1.1 All quotations are valid for 30 days unless otherwise stated.
1.2 Prices are exclusive of VAT unless specifically stated.
1.3 Quotations are based on the information supplied by the Customer and may be revised if specifications change.
1.4 Any additional work requested after acceptance of a quotation may incur additional charges.
2. Orders
2.1 Placing an order, approving a quotation, purchase order or artwork constitutes acceptance of these Terms & Conditions.
2.2 Orders cannot be cancelled once manufacture has commenced without liability for costs incurred.
3. Payment Terms
3.1 Unless otherwise agreed in writing, payment is due within 30 days of the invoice date.
3.2 Intro Creative Group Ltd reserves the right to request a deposit or full payment before design, manufacture or installation commences.
3.3 Failure to pay by the due date may result in:
• Suspension of ongoing work and future orders.
• Interest and compensation charged under the Late Payment of Commercial Debts (Interest) Act 1998.
• Recovery of reasonable debt recovery and legal costs where permitted by law.
3.4 Ownership of all goods remains with Intro Creative Group Ltd until payment has been received in full.
4. Artwork Approval
4.1 Customers are responsible for carefully checking all artwork before approval.
4.2 Approval confirms acceptance of:
• Spelling & Grammar
• Layout & Dimensions
• Colours • Logos and Branding
• Positioning
• All Information and Content
4.3 Once artwork has been approved, Intro Creative Group Ltd accepts no responsibility for errors contained within the approved artwork.
4.4 Reprints or replacements resulting from approved artwork or customer measurement errors may be chargeable.
5. Colours & Print Quality
5.1 Every effort is made to reproduce colours accurately; however, exact colour matching cannot always be guaranteed.
5.2 Colours may vary due to:
• Material type
• Print process
• Screen calibration
• Manufacturing tolerances
• Previous production runs
5.3 Pantone colour matching is only guaranteed where specifically quoted.
6. Signage
6.1 Unless otherwise agreed, the Customer is responsible for obtaining any required:
• Planning permission
• Landlord consent
• Building approval
• Statutory permissions
6.2 Structural calculations, engineer reports and surveys are excluded unless specifically stated within the quotation.
6.3 Manufactured sizes may vary slightly within normal industry tolerances.
7. Vehicle Graphics & Wraps
7.1 Vehicles must be supplied in a clean and suitable condition.
7.2 Intro Creative Group Ltd accepts no responsibility for:
• Existing paint defects
• Poor previous repairs
• Freshly painted panels
• Paint failure
• Poor paint adhesion
• Existing graphics
• Ceramic coatings, waxes or sealants unless disclosed before installation
7.3 Removal of existing graphics may expose paint defects, fading or adhesive residue.
7.4 Graphic lifespan depends on environmental conditions, maintenance and usage.
8. Installation
8.1 Installation dates are estimates unless confirmed in writing.
8.2 The Customer shall provide:
• Safe access
• Suitable working conditions
• Clear working areas
• Necessary permissions
• Power where required
8.3 Delays outside Intro Creative Group Ltd's reasonable control may incur additional charges.
8.4 Where goods are installed by the Customer or a third party, Intro Creative Group Ltd accepts no responsibility for damage or defects resulting from incorrect handling, storage or installation.
8.5 Third-Party Installation
Where goods supplied by Intro Creative Group Ltd are installed, removed, relocated or reinstalled by the Customer or any third party, the Company accepts no responsibility for any damage, deterioration, performance issues or defects arising from those actions. Any warranty shall apply only to defects directly attributable to the manufacture of the goods and not to damage or issues resulting from handling, storage or installation by others.
9. Exhibition Displays
9.1 Customers are responsible for checking all exhibition graphics before their event.
9.2 Intro Creative Group Ltd cannot be held responsible for exhibition organiser restrictions, venue issues or installation delays beyond its control.
10. Workwear & Garments
10.1 Customer-supplied garments are accepted entirely at the Customer's risk.
10.2 Intro Creative Group Ltd accepts no responsibility for:
• Manufacturing defects
• Dye migration
• Garment shrinkage
• Damage caused by hidden faults within customer-supplied garments
10.3 Wash and care instructions should be followed to maximise garment lifespan.
11. Promotional Products
11.1 Promotional products are manufactured within recognised industry tolerances.
11.2 Minor variations in colour, print position or finish shall not be regarded as defects.
12. Delivery
12.1 Delivery dates are estimates only and are not guaranteed.
12.2 Risk passes to the Customer upon delivery or collection.
12.3 The Customer should inspect goods immediately and notify Intro Creative Group Ltd within 24 hours of any shortages, transit damage or obvious defects.
13. Warranty & Defects
13.1 Customers should notify Intro Creative Group Ltd as soon as reasonably practicable of any suspected defect.
13.2 Where a genuine manufacturing defect exists, Intro Creative Group Ltd may, at its sole discretion:
• Repair the goods;
• Replace the goods; or
• Provide an appropriate credit or refund.
13.3 Intro Creative Group Ltd shall not be liable for defects caused by:
• Incorrect installation by others
• Customer misuse
• Vandalism
• Accidental damage
• Third-party alterations
• Weather events outside normal expected conditions
• Poor maintenance
• Normal wear and tear
13.4 Customers must allow Intro Creative Group Ltd a reasonable opportunity to inspect and, where appropriate, rectify any alleged defect before arranging repairs or replacement by a third party.
13.5 Right to Inspect and Rectify
Where the Customer believes that goods or services supplied by Intro Creative Group Ltd are defective or do not conform to the agreed specification, the Customer must notify the Company as soon as reasonably practicable and provide sufficient details of the alleged issue.
The Customer shall allow Intro Creative Group Ltd a reasonable opportunity to inspect the goods and, where the Company accepts responsibility, to repair, replace or otherwise rectify the issue before instructing any third party to carry out remedial work or seeking alternative remedies.
The Company shall not be liable for any costs incurred by the Customer through engaging third parties, removing, altering, reinstalling or disposing of the goods without the Company's prior written agreement, except where required by law.
Any unauthorised modification, removal, reinstallation or repair of the goods by the Customer or a third party may void any applicable warranty or right to claim in respect of the alleged defect, to the extent permitted by law.
14. Customer-Supplied Materials
14.1 Customer-supplied materials are accepted entirely at the Customer's risk.
14.2 Intro Creative Group Ltd accepts no responsibility for defects within customer-supplied goods.
15. Intellectual Property
15.1 All artwork, concepts, visuals and designs remain the property of Intro Creative Group Ltd until paid for in full.
15.2 Unless otherwise agreed in writing, Intro Creative Group Ltd reserves the right to photograph completed work and use such images for marketing, advertising, social media and portfolio purposes.
16. Limitation of Liability
16.1 Intro Creative Group Ltd's total liability shall not exceed the value of the goods or services supplied.
16.2 Intro Creative Group Ltd shall not be liable for any indirect or consequential losses including but not limited to:
• Loss of profits
• Loss of business
• Loss of contracts
• Loss of goodwill
• Loss of opportunity
Nothing in these Terms excludes liability where such liability cannot legally be excluded.
17. Force Majeure Intro Creative Group Ltd shall not be liable for delays or failure to perform its obligations where such failure results from circumstances beyond its reasonable control, including but not limited to:
• Severe weather
• Fire
• Flood
• Supplier shortages
• Material shortages
• Industrial action
• Transport disruption
• Power failures
• Government restrictions
18. Governing Law
These Terms & Conditions, and any contract between Intro Creative Group Ltd and the Customer, shall be governed by and construed in accordance with the laws of Scotland.
The parties agree that the Scottish Courts shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms & Conditions or any contract between them.
